Welcome to Ocuvana! These Terms of Service (“Terms”) govern your access to and use of the Ocuvana platform (the “Service”) provided by Ocuvana LLC (“Ocuvana,” “we,” “us,” or “our”). By creating an account or using our Service, you agree to these Terms.
1. Definitions
- “Account” means your Ocuvana user account.
- “Customer Data” means any data, content or information you upload to the Service.
- “Subscriber” means a spa or salon retailer who signs up to use the Service.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract in your jurisdiction to use the Service.
3. Accounts & Registration
- Registration: Provide accurate contact and business details.
- Security: You’re responsible for safeguarding your password and account. Notify us immediately of any unauthorized use.
4. License Grant
Ocuvana grants you a limited, non‑exclusive, non‑transferable license to use the Service for your internal business purposes.
5. Subscriber Obligations
- Use the Service only in compliance with these Terms and all applicable laws.
- Do not upload malware or infringing content.
- Pay all fees when due (see Section 6).
6. Fees & Payment
- Pricing: Subscription plans and rates are described on our Pricing page.
- Billing: We bill in advance on a monthly or annual basis.
- Late Payments: Past‑due accounts may be suspended or terminated.
7. Trial Periods & Cancellations
- Free Trials: Limited to one per Subscriber.
- Cancellation: You may cancel at any time; you’ll retain access until the end of your paid period. No refunds for partial periods.
8. Ownership
- You retain all rights in your Customer Data.
- Ocuvana owns all rights in the Service and feedback you provide.
9. Confidentiality
Each party agrees to treat the other’s non‑public information as confidential.
10. Warranties & Disclaimers
- No Warranty: The Service is provided “as is.”
- Disclaimer: Ocuvana disclaims all implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of Liability
To the maximum extent permitted by law, Ocuvana’s total liability for any claim arising out of or relating to these Terms will not exceed the fees you paid in the 12 months before the claim.
12. Termination
- For Cause: Either party may terminate for material breach with 30 days’ notice if the breach is not cured.
- Effects: Upon termination, your right to access the Service ends; you may export your data within 30 days.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law rules. Any dispute will be resolved in the state or federal courts of New Castle County, Delaware.
14. Changes to These Terms
We may update these Terms; we’ll post the revised date at the top and notify you. Continued use after changes constitutes acceptance.
